Due Diligence
The due diligence service constitutes an essential part of the business acquisition process. Its main purpose is to verify the value of the company and determine the risks associated with its acquisition. Thanks to the procedures applied and our experience, it is possible to evaluate the data provided by the seller. Before deciding to proceed with the purchase, the buyer has the opportunity to learn about the risks involved in the transaction. The acquired company is analyzed from financial, accounting, tax and legal points of view. The company’s current human resources situation is analyzed as well, with a particular emphasis placed on the employment structure and employee turnover, labor costs or the human resources management model. We may also handle the process of analyzing the company from the seller’s point of view. The purpose of such a service is to identify opportunities and risks that help in negotiations.
Business valuation
We offer you a professional business valuation service. When performing the business valuation services, we rely on the following methods:
- profit-based – we analyze the company’s growth potential based on its ability to generate income in the future (among other things, using the DCF (discounted cash flow) method),
- comparative – we verify the value of comparable companies, using the method of stock market multipliers and comparable transactions,
- asset-based – we assess the value of the company’s assets and liabilities, using the adjusted net assets method or the liquidation method.
The choice of a particular method depends on the specifics of the company’s operations and the need for such a valuation. We present the results of the valuation process in the form of a report, which also presents the methodology applied and the assumptions made.
